IMPORTANT — PLEASE READ CAREFULLY. These Terms & Conditions ("Terms") govern your access to and use of the BatFIN website, mobile applications and the battery leasing services offered by BatFIN Private Limited ("BatFIN", "we", "us" or "Company"). By accessing or using the Website, App or by entering into any Battery Lease Agreement with BatFIN (each a “Lease” and collectively the “Services”), you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Services or access the Website/App.

1. Definitions

For the purposes of these Terms, unless the context otherwise requires:

• Battery: Battery units supplied by BatFIN under a Lease, including associated fittings, connectors, chargers (if any), telemetry/telematics devices and retrofit kits where applicable.
• Customer / Lessee / You: Any person or entity entering into a Lease with BatFIN or using the Website/App to procure Services.
• Lease Term: The duration for which a Battery is leased to a Customer as specified in the Lease.
• Designated Station: Any location, outlet or facility authorized by BatFIN for collection, return, inspection, maintenance or charging of Batteries.
• Security Deposit: Any refundable amount charged by BatFIN as security for the Batteries.
• Battery Rental Charges / Lease Charges: Fees payable by the Customer for leasing Batteries, as set out in the Lease or on the Website/App.
• Service(s): Battery leasing, maintenance, charging, monitoring, collection and ancillary services offered by BatFIN.
• Website/App: BatFIN’s websites, mobile applications and related platforms.

2. Scope; Battery Leasing, not Battery Swapping

BatFIN is engaged exclusively in battery leasing and associated services. BatFIN is not a battery swapping operator. All references to Battery delivery, collection, charging or stations are in the context of BatFIN’s leasing model.

3. Eligibility; Account

• You must be at least 18 years old and legally capable of entering into a contract under Indian law.
• You must register an account to access certain Services, provide accurate information, and safeguard your credentials.
• BatFIN may suspend or terminate accounts at its discretion for misuse, legal reasons, or protection of rights.

4. Orders, Acceptance and Formation of Lease

• Orders placed via Website/App or signed Lease become binding only upon BatFIN’s confirmation.
• Descriptions of Batteries and Services are indicative; errors or discrepancies may occur.

5. Lease Fees, Security Deposit, Payments & Taxes

• You must pay Lease Charges, Security Deposit, onboarding fees and applicable taxes as per the Lease.
• Lease Charges apply for the full Lease Term unless otherwise agreed.
• Security Deposit will be refunded after deductions, within the timeframe specified.
• Non-payment may lead to suspension, termination, or recovery actions.

6. Delivery, Collection & Use

• Delivery and collection will follow Lease or Website/App instructions.
• Batteries remain BatFIN’s property at all times; Customers only have usage rights.
• Unauthorized charging, repairs, modifications, or tampering are prohibited.
• Batteries must be stored/charged only at Designated Stations unless authorized.

7. Maintenance, Monitoring & Repairs

• BatFIN conducts preventive maintenance and inspections; Customers must cooperate.
• Telemetry and GPS may be used for monitoring Battery health and usage.
• Repairs from normal wear and tear are covered by BatFIN; misuse damages are chargeable to Customer.

8. Warranty; No Implied Guarantees; Product Liability

BatFIN provides a limited warranty for Batteries against material defects under normal use. No implied warranties are provided beyond this. Liability is limited as per law and the Lease.

9. Customer Representations & Safety Obligations

• All information provided must be accurate and complete.
• Follow BatFIN’s safety and handling instructions strictly.
• Promptly report theft, loss, or damage.
• Carbon credits and environmental attributes remain BatFIN’s property.

10. Fees for Damage, Loss, Theft & Compensation

Customers are liable for full replacement/compensation of lost, stolen, destroyed or damaged Batteries outside warranty coverage.

11. Indemnity; Insurance

Customers shall indemnify BatFIN against claims, damages, and liabilities arising from misuse, breach, or violations. Insurance for vehicles and liabilities is recommended.

12. Intellectual Property

All IP rights belong to BatFIN; Customers receive only limited usage rights under Lease.

13. Privacy, Data & Monitoring

Data collection and monitoring are carried out under BatFIN’s Privacy Policy, with telemetry and GPS for diagnostics and safety.

14. Third-Party Links & Services

Third-party websites/services linked from BatFIN are not controlled by BatFIN. Transactions are at Customer’s risk.

15. Refunds, Cancellations & Returns

Refunds and cancellations are governed by Lease and applicable e-commerce rules. Early termination may attract charges.

16. Suspension & Termination

BatFIN may suspend/terminate access or Lease for breach, non-payment, misuse, or safety concerns. Customers must return Batteries upon termination.

17. Limitation of Liability

BatFIN’s liability is limited to direct damages up to total fees paid in the preceding 12 months, excluding indirect or consequential damages, unless otherwise required by law.

18. Consumer Protection & Compliance

BatFIN complies with Indian consumer protection and e-commerce laws. Statutory remedies are not excluded.

19. Grievance Officer; Dispute Resolution

A Grievance Officer will be designated on the Website/App. Disputes will first be negotiated amicably before escalation to courts or arbitration where applicable.

20. Modifications to Services & Terms

BatFIN may modify Services and Terms; continued use implies acceptance of updated Terms.

21. Force Majeure

Neither Party is liable for delays or failures due to force majeure events beyond control.

22. Notices

Legal notices to BatFIN should be sent to legal@batfin.in.

23. Severability

If any provision is held unenforceable, the remaining provisions shall remain valid.

24. Assignment

Customers may not assign rights without BatFIN’s consent. BatFIN may assign obligations to affiliates or third parties.

25. Relationship of Parties

These Terms do not create an employment, partnership, joint venture or agency relationship.

26. Entire Agreement

These Terms, along with the Lease and Privacy Policy, form the complete agreement between the Parties.

27. Governing Law & Jurisdiction

These Terms are governed by Indian law. Courts in New Delhi have exclusive jurisdiction, subject to consumer fora rights.

28. Safety, Recalls & Regulatory Notices

Customers must comply with safety recalls and directives promptly to avoid liability.

29. Miscellaneous

• No Waiver: Failure to enforce rights does not constitute waiver.
• Equitable Relief: BatFIN may seek injunctive or equitable relief for IP rights.
• Costs: The prevailing party may recover legal fees where permitted.
